Supporting an Australian veterinary technology business to expand into the UK
Insight shared by:
A veterinary technology business based in Australia was looking to expand into the UK market (and beyond). The company was looking for an experienced professional partner who could provide advisory services across a broad range of legal and consulting areas and share their insight from advising other businesses in the same situation. Â
What were they looking to do?
The company has developed a piece of intellectual property which enables them to manufacture a range of vet tech products which they intend to sell throughout the UK, Australia and other markets such as the US.
They are also looking to fundraise and identified that it would be more attractive for external investors if their company was EIS-qualifying. Under the Enterprise Investment Scheme, UK investors are eligible for tax relief on EIS qualifying investments.
How did we help?
The business came to Gateley Global for advice on how to enter the UK market. The Gateley Global team were able to support the business with:
- Project managing the UK entry
- Arranging banking
- HMRC registrations
- Pension enrolment
- Organising insurance
- Co-ordinating further international market entry
As part of the wider group, Gateley Global were able to introduce the company to legal experts within Gateley Legal who were able to advise on:
- How EIS tax rules apply to investors and why they are attractive for investment.
- Requirements for EIS eligibility including obtaining advance assurance from HMR.
- How the business will be taxed in the UK when they start to trade here.
- A tax efficient structure considering taxation of intra-group commercial arrangements, tax-efficient structuring of the IP,  funding the companies’ tax efficiently and how shareholders can withdraw profits.
- Project managing advice from external providers including US tax and business advice and corporate services from a provider in an offshore jurisdiction.
- Incorporation of a new UK company.Â
- Structuring of outsourced sales and customer services agency contracts for the launch and maintenance of products in territories outside the UK.
- Direct and indirect go to market strategy in the UK and EEA.
- Drafting Hardware and Software as a Service Subscription Agreement, and providing ancillary legal, risk and compliance advice to facilitate entry into the UK market.
- Considering and advising on privacy by design issues.
How did this benefit the client?
The collaboration of the Gateley team ensured that the company were able to address the legal and commercial challenges of their move to the UK working with one team which made the process easier to navigate. Â
